Building Up provides a subscription membership service that allows our members to participate in mentor programs, attend membership events and have access to networking and online resources and content.

By accepting the Building Up Terms of Use, you understand and agree that Building Up, Corp., the company, board members, directors, officers, employees or other members are not responsible for your Building Up experience and you agree to hold Building Up, Corp., its board members and other members harmless of any and all of your experiences in connection to Building Up, Corp., its website, mentor programs, events, content and members. You are entering into this membership contract on your own volition and at your own risk.

In becoming a member, you have accepted these Terms of Use, which govern your use of membership and membership services. Personal information is subject to the Building Up Privacy Statement, the terms of which are incorporated herein.

As used in these Terms of Use, membership means the mentorship programs, membership events and access to services (e.g. networking) and online resources and content and all features and functionalities available on the BuildingUp.club website.

Membership

1.1. Your Building Up membership will continue as long as your membership fees are paid in full.

1.2. When your membership begins you will be granted access to the Building Up website via a password. You are the account owner and the only one to have access and control over your Building Up membership account. To ensure you maintain control over your membership you will be asked to provide and maintain a password. This password and your account protection are your responsibility. You are responsible for any activity that occurs through your Building Up membership account. You are also responsible for updating and maintaining the accuracy of the information you provide to Building Up and in your Building Up membership profile. Building Up can terminate your account at any time for fraudulent or inappropriate behavior.

Billing and Cancellation

2.1. Billing Cycle. The membership fee for your Building Up membership will be charged monthly based on your original membership payment date. Membership fees are fully earned upon your payment.

2.2. Payment Methods.  Building Up accepts PayPal. If payment is not successfully made and you do not cancel your account, we may suspend your access to the website until payment has been successfully made.

2.3. Cancellation. You can cancel your Building Up membership at any time, and you will continue to have access to all Building Up membership benefits through the end of your billing period. To cancel, go to the contact us page and submit a request for cancellation. When you cancel your membership, your account will automatically close at the end of your billing period.

2.4. No Refunds. Membership payments are not refundable and there are credits for partially used periods.

2.5. Changes to the Price and Membership Programs. Building Up reserves the right to change membership programs or adjust pricing for membership or any components of membership in any manner and at any time at its’ sole and absolute discretion.
Building Up Membership

3.1. You must be at least 21 years of age to become a Building Up member.

3.2. Building Up membership, services, resources and content are for your personal and non-commercial use only and will not be used or transferred to others. Your Building Up membership gives you a limited, non-exclusive, non-transferable right to access the Building Up programs and resources. No right, title or interest will be transferred to you. You agree not to use the services or open forums in any malicious way.

3.3. As a Building Up member, you agree to use the resources, services and mentorship program, in accordance with all applicable laws, rules and regulations. Except as explicitly authorized in these Terms of Use, you agree not to archive, download, reproduce, distribute, modify, display, perform, publish, license, or create derivative works from, offer for sale, or use content and information contained on or obtained from or through Building Up membership. You also agree not to circumvent, remove, alter, deactivate, degrade or thwart any of the content on the Building Up website. If you violate these Terms of Use or are engaged in illegal or fraudulent use of the service, Building Up will terminate your membership without refund.

Disclaimers of Warranties and Limitations on Liability

4.1. BUILDING UP PROGRAMS, SERVICES, RESOURCES AND ALL CONTENT AND SOFTWARE ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH THE BUILDING UP MEMBERSHIP, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. BUILDING UP DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE BUILDING UP MEMBERSHIP WILL BE CONSIDERED SUCCESSFUL OR ERROR-FREE. BUILDING UP SPECIFICALLY DISCLAIMS LIABILITY FOR THE USE OF MENTORSHIP PROGRAM, WEBSITE, SERVICES AND RESOURCES.

4.2. TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, IN NO EVENT SHALL BUILDING UP, OR ITS BOARDMEMBERS, DIRECTORS, OFFICERS, EMPLOYEES OR LICENSORS BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER AND MEMBER AGREES THAT THE TOTAL AGGREGATE LIABILITY OF BUILDINGUP (INCLUDING ITS BOARD MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES OR LICENSORS) FOR ALL CLAIMS ASSERTED IN CONNECTION WITH THIS MEMBERSHIP SHALL BE LIMITED TO THE MEMBERSHIP FEE PAID BY MEMBER.4.3. NOTHING IN THESE TERMS OF USE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU.

Arbitration Agreement

5.1. You agree that any dispute, claim or controversy arising out of or relating in any way to the Building Up service, these Terms of Use and this Arbitration Agreement, shall be determined by binding arbitration or in small claims court. You agree that, by agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Building Up are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of this Agreement and the termination of your Building Up membership.5.2. Before you elect to seek arbitration or file a small claim court action, you will alert Building Up (via BuildingUp.club website contact us form) of your complaint and you allow Building Up six months to remedy. If you still elect to seek arbitration or file a small claim court action, you must first send to Building Up, by certified mail, a written Notice of your claim (“Notice”). If Building Up initiates arbitration, it will send a written Notice to the email address used for your membership account. A Notice, whether sent by you or by Building Up, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”). If Building Up and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or Building Up may commence an arbitration proceeding or file a claim in small claims court.

Miscellaneous

6.1. Governing Law. These Terms of Use shall be governed by and construed in accordance with the laws of the state of Illinois, U.S.A. without regard to conflict of laws provisions. These terms will not limit any consumer protection rights that you may be entitled to under the mandatory laws of your state of residence.

6.2. Feedback. Building Up is free to use any comments, information, ideas, concepts, reviews, photos, images or techniques, content or any other material contained in any communication you may send to us or post to the Building Up website (“Feedback”), including responses to questionnaires or through postings to the Building Up website and in perpetuity without further compensation, acknowledgement or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving the Building Up experience. In addition, you agree not to enforce any moral rights in and to the Feedback, to the extent permitted by applicable law.

6.3. Customer Support. To find more information about our service and its features, or if you need assistance with your account, please visit the Building Up contact us tab on the BuildingUp.club website. In the event of any conflict between these Terms of Use and information provided by a Building Up representative or other portions of our website, these Terms of Use will control.

6.4. Survival. If any provision or provisions of these Terms of Use be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

6.5. Changes to Terms of Use and Assignment. Building Up may, from time to time, change these Terms of Use. Such revisions shall be effective immediately. We may assign our agreement with you to any affiliated company or to any entity that succeeds to all or substantially all of our business or assets related to the applicable Building Up offering.

6.6. Communication Preferences. We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration. You agree to receive emails from Building Up. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

6.7 Confidential Information. Building Up will not accept confidential information. If a member provides information to Building Up, its’ members, mentors, mentees or on its’ website, by posting and/or sharing this information deems this information non-confidential. Member acknowledges that personal information provided to Building Up in connection with the membership will be deemed non-confidential to Member. Although deemed non-confidential, Building Up will not uses or share membership information except as explicitly stated herein and on the Buildingup.club website. If BuildingUp is required by court order or by regulatory authority to disclose any confidential information, it will provide Member with written notice sent to the email on file. Any disclosure of information shall comply with all applicable statutes, laws and regulations .
